License Agreement

This End User License Agreement (“EULA”; collectively “License Agreement”) is a legal agreement between ‘Golibits - Markus Paintner’ (collectively, “Golibits”, “Licensor”, “we”, “us”, “our”) and you, the end-user (collectively, “Licensee”, “User”, “you”, “your”, “you’re”) (whether an individual or a single legal entity), in regards to our Software products (collectively, the “Software”) and any other provided services or software updates.
We advice you to carefully read this entire license agreement before using the Software. By downloading, installing or using the Software you acknowledge that you have read this License Agreement, understand it and agree to be bound by its terms. If you do not agree to all of the terms hereinafter, you must not download, install or use the Software and must delete all copies of the Software on your computer immediately.
Trial Period license
For sake of evaluation purposes only, Golibits grants you a limited, non-exclusive and non-transferable license to download and use the Software for twenty (20) days for free (“Trial Period”). The Trial Period begins on the first day of use of the Software and ends automatically 20 days thereafter.
In order to use the Software beyond the Trial Period, a license needs to be purchased.
License types (Standard and Site)
This License Agreement differentiates between two general license types:
- “Standard” license is a personal license that grants the designated person (“Licensee”) access to the associated Software on up to two (2) devices at any given time.
- “Site” license is a non-personal license that grants the designated legal entity (“Licensee”) access to the associated Software on up to the specified number of “seats” devices (as stated on the license key itself).
License variants (NFR)
Both license types (Standard and Site) can have an additional license variant attached to them:
- the NFR (“not for resale”) license variant is the same as the respective Standard or Site license type, except that it is not transferable to a third party. It is usually intended for journalists that are interested in reviewing the Software.
License activation
Usage of the license on a given device requires license activation in the sense of reserving a so called “device slot”. Assuming network connectivity to the Golibits license server, activation happens automatically. Otherwise offline activation is required. Once all device slots are in use, moving to another device is possible, but requires device deactivation (i.e. “free up slot”) of a prior activated device. Device deactivation can be performed via your user account.
Usage of a license of either of these license types by anyone other than the designated Licensee on more than the allowed number of devices constitutes an infringement of these license conditions herein.
License validity
Both license types (Standard and Site) will give you access to the respective Software of the specified major version (as listed on the license key). For instance, a license with version “1.x.x” includes access to any minor or patch updates within that major version (e.g. “1.1.0”, “1.1.1”, “1.2.0”). Typically these are about bugfixes and small feature additions. Any major version updates (e.g. “1.x.x” to “2.x.x”) are excluded. To obtain access to a new major version of the Software, a new license will need to be purchased.
In general, licenses are granted in perpetuity, which means they will not automatically expire at any given point in time. Nevertheless, a license may be revoked if the license conditions herein aren’t adhered to. For the sake of license activation, possible revocation and verifying the compliance to these license conditions, the Software will periodically contact the Golibits license server, sending along certain data (license key ID, device ID, device name, operating system version). For more information on how we are processing this data, please see the current version of our Privacy Policy (www.golibits.com/privacypolicy). Golibits reserves the right, without prior warning or notice, to revoke licenses should this provision be violated, be it non-compliant use, abuse or fraud.
License restrictions
Both license types (Standard and Site) will grant you (the designated person or legal entity) the right to download, install and use the Software under the conditions stated herein. Any other, not explicitly granted rights remain with Golibits. Therefore you may not (including, but not limited to) decompile, disassemble, reverse engineer, translate, take apart, alter, or extract any parts of the Software.
License transfer
A purchased License (Standard or Site, but not if of variant NFR) may be permanently transfered to a third party, provided that:
- the original Licensee unrecoverably deletes all, be it full or partial, copies of the Software and license key (local copies, backups, etc.), and
- the third party receiving the License reads and consents to this License Agreement herein prior to the transfer.
The user account of the original Licensee is not transferable. Golibits will transfer the respective license to the designated third party’s account upon request (i.e. creating a new account if none present yet). Golibits reserves the right to charge for a license transfer.
Privacy Policy
Please see the current version of our Privacy Policy (www.golibits.com/privacypolicy) for details on how we are using your personal data. Installing and using the Software requires your consent to the provisions of our Privacy Policy. If you do not agree with said provisions, please refrain from installing and using the Software.
Termination
This License Agreement is effective until terminated. All rights granted to a Licensee under this License Agreement will automatically terminate in case a Licensee fails to comply with any of the terms and conditions in this License Agreement herein. Upon such termination, the Licensee is required to cease any use of the Software and shall unrecoverably delete all, be it full or partial, copies of the Software and license key (local copies, backups, etc.).
Disclaimer
To the maximum extent permitted by law, the Software is provided to the User on an “as-is” basis, without warranty of any kind, express or implied including, but not limited to, any warranty of merchantability, usefulness and fitness for any particular purpose and non-infringement.
Golibits does not warrant that the Software will meet your requirements or that it is error-free or that it will operate uninterrupted or that any errors in it will be corrected in the future.
To the maximum extent permitted by law, Golibits shall not be liable for any special, incidental, indirect, consequential or other kinds of damages, that arise out of the use or abuse, including but not limited to, misinterpretation of documentation or functionality of the Software.
Copyright and trademark
The Software is protected by German copyright laws and rules laid out within international treaties. All copyright pertaining to the Software remains with Golibits.
Golibits is a registered trademark of Markus Paintner, Germany.
General
In regards to our usage of open source components, a list of such can be found in the software via “third party notices” section (see “About” window or similar).
Golibits reserves the right to terminate support for any major version of any Golibits Software at any time at its sole discretion.
This License Agreement shall be governed by the laws of Germany without regard to its conflict of law rules, with the exclusion of the German (including EU) conflict of laws provisions and the UN Convention on the International Sale of Goods (CISG).
If any provision of this License Agreement is or becomes illegal, invalid or unenforceable, such provision shall be replaced with a legal, valid and enforceable provision, which comes as close as possible to the original provision’s intent. The legality, validity and enforceability of all other provisions of this License Agreement shall not be affected as a result of the aforementioned scenario.
Golibits reserves the right, at any time, at its sole discretion, to make changes to the terms of this License Agreement.
